By accessing and using HushListing ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Service ("Terms") govern your use of our off-market real estate agent matching platform operated by HushListing ("Company," "we," "us," or "our").

Service Description

HushListing provides an off-market real estate agent matching service that connects buyer's agents with selling agents through intelligent matching algorithms. Our service works entirely via email and does not require new software or CRM changes.

The service includes automatic match scoring, privacy-protected introductions, and optional premium features for enhanced functionality.

User Eligibility

• You must be at least 18 years old to use our service
• You must be a licensed real estate agent or broker
• You must provide accurate and complete registration information
• You must maintain the security of your account credentials
• You must comply with all applicable laws and regulations

Account Registration

To use our service, you must register for an account by providing your work email address, professional role, and primary market area. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your account credentials secure and confidential
• Notify us immediately of any unauthorized use
• Accept responsibility for all activities under your account

Service Usage

Permitted Uses

• Submit buyer briefs and pre-listing information
• Receive and review match notifications
• Accept or decline match opportunities
• Communicate with matched agents through our platform
• Use premium features according to your subscription plan

Prohibited Uses

• Submitting false or misleading information
• Attempting to circumvent our matching algorithms
• Using the service for illegal or unauthorized purposes
• Interfering with or disrupting the service
• Attempting to gain unauthorized access to our systems
• Violating any applicable laws or regulations

Privacy & Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

We implement industry-standard security measures to protect your data and maintain strict privacy controls throughout the matching process.

Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of HushListing and its licensors. The Service is protected by copyright, trademark, and other laws.

You retain ownership of any content you submit, but grant us a license to use, process, and distribute that content as necessary to provide our service.

Pricing & Billing

Free Tier

We offer a free first match to all new users. During our beta period, if you receive no matches, you pay nothing.

Premium Plans

• Pro Plan: $59/month for unlimited matches and premium features
• Team Plan: $99/month for up to 3 seats and team features (additional seats are $19/month per seat)
• All prices are subject to change with 30 days notice
• Price changes will not affect existing subscriptions unless cancelled and re-upgraded

Billing Terms

• Subscriptions are billed monthly in advance
• You may cancel your subscription at any time
• No refunds for partial months or unused services
• Failed payments may result in service suspension

Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted access. The service may be temporarily unavailable due to:

• Scheduled maintenance and updates
• Technical issues or system failures
• Force majeure events beyond our control
• Network or infrastructure problems

We will provide reasonable notice for scheduled maintenance and work to resolve unscheduled outages promptly.

Limitation of Liability

To the maximum extent permitted by law, HushListing shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

Our total liability to you for any claims arising from the use of our service shall not exceed the amount you paid us in the 12 months preceding the claim.

Disclaimer of Warranties

The service is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the service, including but not limited to:

• Accuracy of match results or recommendations
• Availability of suitable matches
• Success of introductions or transactions
• Compatibility with third-party systems

We do not guarantee that the service will meet your specific requirements or that it will be error-free or uninterrupted.

Indemnification

You agree to defend, indemnify, and hold harmless HushListing and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the service or violation of these Terms.

Termination

We may terminate or suspend your account and access to the service immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination, your right to use the service will cease immediately. We may delete your account and data, though we will retain certain information as required by law or for legitimate business purposes.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions. Any disputes arising from these Terms or the service shall be resolved in the courts of [Your Jurisdiction].
